What We DoReporting to the Director Procurement & Sr Legal Counsel, Chief Privacy Officer, the Legal Counsel will oversee contracts drafts, reviews, negotiates, and manages various contracts, including the interpretation of such contracts and the implementation of amendments.

How You’ll Make an Impact Reviewing and considering all pertinent issues which arise in the context of negotiations

Tracking all relevant securities & pension law issues which may affect the negotiation of investment management agreements on behalf of FICIndependently draft, review, negotiate and manage a variety of agreements

Liaise and collaborate with external and internal Fidelity business partners to ensure necessary legal documentation is completed in accordance with timelines/policies

Assist in the continual improvement of processes, documentation and practices to achieve a more

efficient workflow

Assist with supplied sourcing, onboarding and engagement as well as ad-hoc projects as necessary

Drafting, maintaining and updating material contracts, as required

Provide general legal advice including in the following circumstances and acts as the Legal expert for Special Projects within FICCoordinating and implementing comments received from internal and external parties

Participating in document review committee meetings

Review and coordination of fund investment and other corporate action documentation (e.g., subscription agreements for private placements).Support compliance department (e.g., compliance certificate review)

Provide support with corporate contracts and Intellectual property issues (e.g., FIC-related trademarks)

What We’re Looking For Completion of the Bachelor of Law or Juris Doctor degree

Completion of Canadian Securities Law Course or IFIC Mutual Fund Course is an asset4+ years of experience in the legal or procurement department of a large commercial organization or a large law firm Licensed as a member of the Law Society of Upper Canada Experience in contracts required

Prior mutual fund industry experience is an asset
